StitchLink Terms of Service
TL;DR (Human Summary)
- Your Data is Yours: We do not store your calendar events or event names. We just look at them to find free time, then instantly forget them.
- No Lock-in: Cancel anytime. When you delete your account, we delete everything. Nothing gets sold to data brokers.
- Fair Use: Paid plans are unlimited, up to 1,000 meetings per month per user. Abuse or reselling our API gets your account banned.
1. Agreement to Terms
Welcome to StitchLink. By accessing or using our website, application, API, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree with any of these terms, you are prohibited from using or accessing this Service.
These Terms constitute a binding legal agreement between you (either an individual or an entity) and Project Kaz LLC, doing business as StitchLink ("Company," "we," "us," or "our").
2. Description of Service
StitchLink provides a scheduling utility that connects to third-party calendar providers (such as Google Calendar and Microsoft Outlook) to facilitate scheduling. We utilize an ephemeral data processing architecture, meaning we calculate your free/busy availability in real-time without permanently storing your sensitive event details in our database.
3. Accounts and Registration
To access certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain the security of your password and accept all risks of unauthorized access to your account.
- Immediately notify us if you discover or otherwise suspect any security breaches related to the Service.
You are responsible for all activities that occur under your account. StitchLink reserves the right to refuse service, terminate accounts, or remove content in its sole discretion.
Upon voluntary account deletion or termination, you will have 30 calendar days to export your data via Settings → Export Data. After this period, all associated data will be permanently deleted in accordance with our Privacy Policy.
4. Use License & Restrictions
Permission is granted to access and use StitchLink for its intended purpose of scheduling and calendar management. This is the grant of a license, not a transfer of title. Under this license, you may not:
- Modify, copy, or create derivative works based on the Service or its content.
- Use the Service for any commercial purpose other than your own internal business scheduling needs without express written consent.
- Attempt to decompile, reverse engineer, or disassemble any software contained on StitchLink's Service.
- Remove any copyright or other proprietary notations from the materials.
- Transfer the materials to another person or "mirror" the materials on any other server.
- Use the Service to send unsolicited bulk emails (spam), engage in phishing, or violate the privacy rights of others.
This license shall automatically terminate if you violate any of these restrictions and may be terminated by StitchLink at any time.
5. Calendar Integrations & Third-Party Services
StitchLink relies on APIs provided by third parties, including Google and Microsoft. By using the Service, you acknowledge and agree that:
- Dependence: The continued availability of the Service relies on these third-party providers. If they revoke access or change their API terms, StitchLink may need to modify or discontinue features.
- No Liability for Third Parties: StitchLink is not responsible for outages, data loss, or errors caused by Google, Microsoft, or other third-party providers.
- Sync Accuracy: While we strive for accuracy, StitchLink does not guarantee that calendar synchronization will be error-free or instantaneous. We are not liable for missed meetings, double-bookings, or professional errors resulting from synchronization delays or failures.
6. Subscriptions, Billing, and Disputes
StitchLink offers multiple subscription tiers. Paid plans include unlimited meetings subject to our fair-use policy.
- Fair Use Policy: "Unlimited" meetings are subject to a soft limit of 1,000 scheduled meetings per user per month. This limit is designed to prevent bot abuse and unauthorized API reselling. If you exceed this limit, we may throttle your usage or require moving to an Enterprise plan.
- Payment: You agree to pay all fees in accordance with the pricing terms presented at checkout.
- Renewal: Subscriptions automatically renew at the end of each billing cycle. We will send you a renewal reminder at least 7 days before monthly renewals and at least 30 days before annual renewals. You may cancel at any time before the renewal date.
- Cancellation & Refunds: You may cancel your subscription at any time. Your service will continue until the end of the current billing period. All payments are non-refundable, and we do not provide refunds or credits for partial subscription periods.
- Chargebacks: If you initiate a chargeback or dispute a valid credit card charge with your bank, we reserve the right to immediately suspend or terminate your account. Please contact our support team to resolve billing issues before contacting your bank.
7. Intellectual Property Rights
The Service and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of StitchLink and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.
8. Disclaimer
The materials and services on StitchLink are provided on an 'as is' and 'as available' basis. StitchLink makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.
9. Limitation of Liability
In no event shall StitchLink, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service.
- Any conduct or content of any third party on the Service.
- Any content obtained from the Service.
- Unauthorized access, use, or alteration of your transmissions or content.
In no event shall StitchLink's aggregate liability for all claims relate to the Service exceed the greater of one hundred US dollars ($100) or the amount you paid StitchLink, if any, in the last 12 months.
10. Indemnification
You agree to defend, indemnify, and hold harmless StitchLink and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.
11. Accuracy of Materials
The materials appearing on StitchLink's website could include technical, typographical, or photographic errors. StitchLink does not warrant that any of the materials on its website are accurate, complete, or current. StitchLink may make changes to the materials contained on its website at any time without notice.
12. Modifications to Terms
StitchLink reserves the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
13. Dispute Resolution and Arbitration
Please read this section carefully as it affects your legal rights.
- Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration rather than in court.
- Class Action Waiver: You and Project Kaz LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to a jury trial.
- Small Claims Exception: Notwithstanding the above, either party may bring individual claims in small claims court if the claim qualifies under the court's jurisdictional limits. Claims seeking injunctive or equitable relief are also excluded from mandatory arbitration.
- Venue: If for any reason a claim proceeds in court rather than in arbitration, the dispute shall be exclusively brought in the state or federal courts located in Los Angeles County, California.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
15. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond reasonable control, including but not limited to: natural disasters, pandemics, government actions, internet or telecommunications outages, third-party service failures (including Google, Microsoft, Stripe, and hosting providers), cyberattacks, power failures, or labor disputes. The affected party will use reasonable efforts to resume performance as soon as practicable.
16. Partner Program Terms
By participating in the StitchLink Partner Program, you agree to the following terms:
- Commission: Partners earn a standard 20% recurring commission on referred paid accounts for the first 12 months of those subscriptions, provided the partner account remains in good standing.
- Chargebacks & Refunds: Any commissions earned on transactions that are subsequently refunded or charged back will be deducted from your future payouts.
- Self-Referrals prohibited: You may not use your partner link to refer yourself or organizations you own or are employed by to receive a discount or commission.
- Anti-Spam clause: You may not use unsolicited mass email (SPAM), deceptive coupon sites, or bid on stitched/trademarked search terms (e.g., "StitchLink coupon") to drive traffic. Violation will result in immediate suspension and forfeiture of unpaid commissions.
- Payouts: Minimum payout threshold is $50. Payouts are generated monthly via Stripe Connect.
17. Referral Program Terms
These terms govern the StitchLink Referral Program, which allows existing StitchLink users ("Referrers") to invite new users ("Referred Users") to StitchLink in exchange for a promotional service credit ("Reward Month"). Your participation is governed by these Referral Terms in addition to the main StitchLink Terms of Service.
- Eligibility: You must be an existing StitchLink user with an account in good standing. A Referred User must not already be a StitchLink user at the time of enrollment and must not have previously used a StitchLink referral code. Referred Users must apply a valid referral code attributed to you during sign-up; codes applied after sign-up do not qualify.
- Reward & Qualification: Upon a Referred User's successful sign-up and application of your referral code, both you and the Referred User each receive one (1) month of complimentary StitchLink Pro access applied to your respective active subscriptions.
- One-time acknowledgement: Before your first use of the Referral Program, you must acknowledge a brief statement confirming that your participation complies with any professional conduct rules, employer policies, or laws applicable to you. This acknowledgement is recorded with a timestamp and the exact text you agreed to.
- Cap: Each user may earn a maximum of twelve (12) Reward Months over the lifetime of their account. Once reached, further referrals do not generate additional Reward Months for that user.
- Expiry: Reward Months expire thirteen (13) months after issuance if unused. Reward Months are not transferable, have no cash value, are not redeemable for cash or other consideration, and do not constitute a gift certificate, gift card, or stored-value card under any applicable law, including California Civil Code §1749.5 et seq.
- One referral per referred user: A Referred User may use only one referral code per account. Subsequent codes will not be honored. If a Referred User later creates additional accounts, those accounts are not eligible for a new Reward.
- Self-referrals prohibited: You may not use your own referral code, including via aliases, secondary accounts, or any account you own or control.
- Prohibited conduct: You may not (a) participate in coordinated or reciprocal referral schemes, (b) use automated means, bots, or scraping tools to distribute referral links, (c) offer cash, rebates, or other inducements to Referred Users to sign up, or (d) misrepresent StitchLink, the Referral Program, or the Reward in any communication with a prospective Referred User.
- Claw-back: StitchLink may revoke any unexpired and unused Reward Month if (a) the Referred User's account is terminated by StitchLink for breach of the Terms, or (b) StitchLink determines in its sole discretion that the referral was obtained in violation of these Terms. Before revoking a Reward Month on fraud or abuse grounds under (b), we will use reasonable efforts to notify you at the email address associated with your account and provide fourteen (14) days to respond to legal@stitchlink.ai before the revocation takes effect. Determinations of fraud or abuse are final after that response window.
- FTC disclosure: When sharing your referral link publicly (social media, blogs, podcasts, and similar channels), you agree to clearly and conspicuously disclose your material connection to StitchLink (for example, using "#ad" or "#referral") as required by the FTC Endorsement Guides, 16 C.F.R. Part 255.
- No chance; program scope: The Referral Program is a skill-based loyalty offer, not a sweepstakes, contest, or lottery. No element involves chance. The Referral Program is void where prohibited or restricted by law.
- Privacy: You may only share the Referral Program via a generic referral link or code. You may not submit the personal information of a third party (including email, name, or phone) to StitchLink without their explicit consent. Referrer and Referred User data is governed by the StitchLink Privacy Policy.
- No affiliate/contractor relationship: Participation does not create an employment, partnership, joint venture, franchise, or independent-contractor relationship between you and StitchLink. You are not authorized to represent StitchLink. The Partner Program (§16) is a separate cash-commission program; you may not participate in both programs with respect to the same Referred User.
- Tax treatment: The Reward Month is a promotional service credit applied to your own StitchLink subscription, not a cash payment. You are responsible for determining whether any tax obligations arise from your participation. StitchLink does not provide tax advice and does not currently issue IRS Form 1099 for Reward Months, but reserves the right to do so if required by law.
- Regulated industries: If you are a physician, hospital employee, licensed healthcare provider, attorney, financial advisor, or other professional subject to rules on referral fees, kickbacks, or remuneration, you are solely responsible for determining whether your participation complies with applicable laws and professional-conduct rules, including without limitation the federal Anti-Kickback Statute (42 U.S.C. §1320a-7b), the Stark Law (42 U.S.C. §1395nn), state anti-kickback statutes, state bar rules on referral fees, and employer policies. StitchLink makes no representation that the Referral Program is compliant with the rules applicable to your profession. If you are in doubt, consult counsel or decline to participate.
- Amendment & termination: StitchLink may modify or terminate the Referral Program at any time by posting an updated version of this Section. Material changes will be communicated via in-product notice or email at least thirty (30) days before taking effect. Reward Months already earned and unexpired at the time of a change will be honored under the terms in effect when the Referral was completed.
- Survival: The obligations in these Referral Terms that by their nature should outlive your account will survive termination of your account, including without limitation: the Expiry and gift-card disclaimers, the Prohibited conduct list, the Claw-back provisions, the Tax treatment allocation, the FTC disclosure obligation for any post-termination public posts, and the Disputes / arbitration provisions below.
- Disputes: Any dispute arising out of or relating to the Referral Program — including the amount, eligibility, or forfeiture of a Reward Month — is subject to the dispute-resolution, arbitration, class-action-waiver, and governing-law provisions of the main StitchLink Terms of Service (§§13–14), which are incorporated by reference into this Section.
